Brand X Networks Acquires Madera Area Digital Network

Fresno, CA. May 4, 2005 - Brand X Networks, Inc. announced today that it has entered into an agreement to acquire the assets of Madera Area Digital Network, Inc., Madera’s leading broadband fixed-wireless and dialup Internet service provider (ISP).  Financial terms of the deal were not disclosed.

Madera Area Digital Network has been providing quality Internet services to local customers since 1995.  “Although we have faced many challenges, most recently the bankruptcy filing of one of our key vendors, Optigate Networks, MadNet is still committed to providing our customers with superior Internet services.” said Le Roy James, President of MadNet.  “By joining the Brand X team, we can continue to provide excellent service to our customers while improving and expanding the reach of our broadband wireless network.”

MadNet customers will not experience an interruption in service during the transition to Brand X.  All services, including e-mail addresses, dialup numbers and pricing will remain the same.  The only thing that will change is the billing address and the addition of around-the-clock access to Brand X Networks’ world-class bi-lingual technical support service.

Independent ISPs have struggled with the transition from dialup to broadband, and with incumbent telephone and cable carriers maintaining their monopoly on the wires into homes and businesses, broadband fixed wireless Internet access represents a third access alternative with distinct advantages over traditional access methods.  Because wireless providers don’t need to deal with an intermediate wireline carrier to provide service, broadband wireless Internet access can be provisioned faster and more profitably than any other method.  Broadband wireless connections are also more readily available in rural areas than DSL and cable, which have service reach limitations.

“Brand X is dedicated to helping Internet providers succeed, and our acquisition of MadNet furthers this mission,” stated John Prather, President and CEO of Brand X Networks.  “We are delighted that the founder and President of MadNet, Le Roy James, will be joining our team as the Director of our new Wireless Division.  One of his first priorities is to make changes to the MadNet wireless infrastructure to create a wholesale broadband wireless offering that ISPs can profitably resell.  Assuming our initial efforts in Madera prove successful, we will continue to expand the wireless network through partnerships with established wireless providers, acquisitions, and build-out our own infrastructure.”
